1 Executive Summary

1.1 Overview

1.1.1   In the context of the enactment of the new Financial Services (Disclosure and Provision of Information) (Jersey) Law 2020, and the launch of our new myRegistry digital registry system, as well as changing international standards and practices requiring new and more up to date registers, a consultation was issued on proposed changes to Registry fees. In accordance with Regulation 7 of the Financial Services (Disclosure and Provision of Information) (Jersey) Regulations 2020  the Government of Jersey have set their additional amount to be paid on providing an annual confirmation statement at £145.

1.1.2   On 3 November 2020 the JFSC issued Consultation Paper No. 8 2020. The purpose of the Consultation Paper was to seek views on proposals to introduce new fees and to increase Registry fees as follows:

1.1.2.1 A new annual confirmation fee for companies, limited liability companies, foundations, and all partnerships except limited partnerships. The annual confirmation statement is a requirement under the new Law.  Although this is a new fee, it will replace the annual return fee for companies, along with the annual administration fee for other entities.  For 2021, the annual confirmation fee proposed is £80[i] for entities administered by a regulated service provider and £75 for ordinarily administered companies[ii].   Limited partnerships are not required to provide an annual confirmation statement and will pay an annual fee of £80.

1.1.2.2 The proposed fee for ordinarily administered companies represents a reduction by £5 when compared with the 2020 annual return fee. The JFSC is prepared to bear the cost of this reduction in fee for ordinarily administered companies as part of an overall package which includes the fee increases from 1 January 2021. The elements of the proposals are inextricably linked to each other.

1.1.2.3 From 1 January 2022 it was proposed that the annual confirmation fee (and the annual fee for limited partnerships) would increase for entities administered by a regulated service provider to £125[iii]. There would be no increase for ordinarily administered companies.

1.1.2.4 A new fee of £10 for reserving a name with an increase in the length of time for which the name will be reserved, from six months to two years.

1.1.2.5 A new fee of £110 for a name change of a foundation, a partnership, or a limited liability company.

1.1.2.6 A 10% increase across all Registry transaction fees with the exception of the five day incorporation service used for ordinarily administered companies, which will not change.

1.1.2.7 Paper-based fees will no longer apply and will be removed from the fee schedules.

1.1.2.8 Late filing fees will be increased by 10%.

1.1.2.9 There will be no change to the Security Interests Register fees until the next fee review.

1.1.3   The purpose of this paper is to provide feedback on the responses received regarding the Consultation Paper.

1.2 Feedback received

1.2.1   The consultation period closed on 30 November 2020. Five responses were received by JFL. Four of the responses were from accountancy firms holding a Class ‘O’ licence. Feedback was also received from a TCB.

1.2.2   The JFSC is grateful to all the respondents for taking the time to consider and comment on the proposals. The final Fees Notices can be found in Appendices A to I.

1.3 Next Steps

1.3.1   For the reasons given in this Feedback Paper, the JFSC will proceed with the new fees and increased fees as set out in the consultation paper, except for the proposed annual confirmation fee amount as regards to companies administered by a regulated service provider holding a Class ‘O’ licence (as defined in the Financial Services (Financial Service Business) (Jersey) (Order) 2009. Due to feedback from responses to the consultation paper, the annual confirmation fee for companies administered by a regulated service provider holding a Class ‘O’ licence will be the same rate as for ordinarily administered companies. The lower amount takes into consideration that a business with this class of licence can only provide limited services to companies whose beneficial owners are all Jersey resident and therefore do not involve the type of structures which require greater Registry resource.

1.3.2   In response to requests from Government and other bodies, the JFSC has decided that it will not charge a fee to Jersey registered charities for the annual confirmation statement. The annual confirmation fee is a combination of a fee imposed by the JFSC and a separate levy payable to the Government of Jersey. Government has taken the decision that it will not require Jersey registered charities to pay the separate levy (£145 of the total fee of £220/£225). Charities have been hard hit by the restrictions and after-effects of the Covid-19 pandemic. For these reasons the rate for Jersey registered charities for the annual confirmation statement will be set at £0.00.

1.3.3   The Fee Notices have been updated to reflect the new fees and increases and will be published on the JFSC’s website. As with previous fee changes, the JFSC will communicate these in the appropriate manner. For example: to ensure all ordinarily administered companies are informed, the JFSC will write to each company setting out the increase and the new fees. TCBs should expect an email communication.

1.3.4   The fees set out in the attached Fee Notices are effective from 1 January 2021.

1.3.5   The basis for the fees is detailed within the Fee Notices at Appendices A to I:

2 Summary of Responses

2.1 Structure of this section

2.1.1   This section summarises the substantive comments received in response to the Consultation Paper. 

2.1.2   The Consultation Paper asked one question:

“Do you agree with the proposed options and the proposed fee levels? If not, please suggest alternative fee levels and explain why the alternative fee level has been suggested.”

2.2 Summary of Responses to Question at Paragraph 2.1.2

2.2.1   No respondents raised any concerns regarding the 10% fee increase proposals or the proposed new fees for reserving a name or a name change. All the feedback related to the proposed increase to the new annual confirmation fee in in 2022:

2.2.2   The respondents did not agree with the higher annual confirmation fee being applied to companies administered by Class ‘O’ licence holders. The respondents queried why these companies, which are necessarily locally owned, were included with the rest of the regulated sector and should be treated the same as ordinarily administered companies.

2.2.3   One respondent objected to these companies paying the higher fee on the basis that they are generally low risk and should not require extra work for Registry. One respondent noted that as a Class ‘O’ licence holder, it predominately administers local trading businesses or single director companies who are unable to act as company secretary. It raised the concern that some of these companies might be dissuaded from using a service provider by the increased fee and seek to appoint a spouse or friend as company secretary, who might not have a full understanding of the legal requirements and responsibilities or keep up to date. Another respondent echoed this concern and thought there was a risk of companies trying to manage their own statutory records but not doing so adequately and falling short of the required standard.

2.2.4   This respondent also suggested that some regulated service providers might absorb some or all of the fee increase for their clients in order to remain competitive and that this might disadvantage smaller, locally run providers, who are unable to do the same.  It gave the opinion that Class ‘O’ business is clearly distinguished from the financial service arrangements administered by other financial service business classes and that that Class ‘O’ should remain outside the scope of the regulated sector fees.

2.2.5   Another respondent raised an objection to the lack of distinction between the regulated service providers administering companies owned by local residents and the rest of the sector. It noted that this meant that local companies which opt to use a provider are penalised, despite not having a large impact on Registry resources.

2.2.6   The JFSC notes the concerns in relation to companies administered by Class ‘O’ licence holders and that this group can be differentiated from the other classes of licence.

2.2.7   Although the JSFC had proposed a higher fee rate to encompass all entities administered by a regulated service provider, it has taken on board the responses and, in particular, the comments relating to the low risk nature of the companies which comprise the majority of Class ‘O’ holders’ clients, and how these do not add to the Registry resource requirements in the same way as entities administered by the other licence class holders.

2.2.8   Accordingly, the JFSC has reconsidered its position on the Class ‘O’ administered companies. However, this concession is based on the assumption that the number of companies administered by the Class ‘O’ licence holders remains stable. The position will be kept under review and, in the event of a substantial increase in the number of these companies, fees would need to rise. Upon such event it is likely that the JFSC would propose that administered by Class ‘O’ licence holders pay the same fee as the rest of the regulated sector. 

2.3 Next Steps

2.3.1   It is clear from the responses received that the primary points of concern for all responses is the application of the higher annual confirmation fee to companies administered by Class ‘O’ licence holders. In this regard, the JFSC:

2.3.1.1 Has considered the feedback received and proposes to allow companies administered by Class ‘O’ licence holders to pay the same lower fee as ordinarily administered companies.

2.3.1.2 Will proceed with the proposal for new fees for reserving a name and for a change of name and with the 10% increase in existing fees.

2.3.1.3 Will not charge Jersey registered charities a fee for the annual confirmation statement.

2.3.2   In light of the above, the JFSC will proceed with the fees as set out in the Fees Notices as attached as Appendices A – I. 

2.3.3   The effective date of the Fee Notices is 1 January 2021.

[i] There is a Government Levy of £145 which the JFSC is required by law to collect with each annual confirmation fee. We collect this at the same time as the annual confirmation Fee. Therefore, in 2021, a total amount of £225 should be submitted to us by regulated service providers and £220 by ordinarily administered company or a company administered by a Class ‘O’ licence holder.

[ii] “ordinarily administered companies” means companies not administered by a regulated service provider.

[iii] In 2022, the total amount submitted by regulated service providers will increase to £270. The sum of Government levy of £145 and the JFSC element of £125.

[iv] A “company administered by a regulated service provider” means a company which has engaged a person carrying on business providing any of the services specified in Article 2(4) of the Financial Services (Jersey) Law 1998.
