Register a Jersey limited liability company
Limited liability company name
You can choose either a reserved name or a proposed name to start your limited liability company registration.
Reserved name
To register a limited liability company using a reserved name:
- log in to myRegistry
- select 'start new submission'
- select 'register limited liability company’
- select 'reserved name'.
- Enter your reserved name / number. If entering the reserved number you must start with 'RN'.
Proposed name
To register a limited liability company without using a reserved name:
- Log in to myRegistry
- select 'start new submission'
- select 'register partnership'
- select 'proposed name'
Selecting this option may extend the time it takes to process the registration, whilst the proposed name is reviewed. The Registry team aim to complete the processing within the selected service level but may take up to 1 additional day to complete the name review.

Register a limited liability company
Limited liability company registrations can only be made by an entity regulated by the JFSC, with the relevant licence to provide formation services.
To register:
- log in to myRegistry
- select 'start new submission'
- select 'register limited liability company’
A limited liability company may be formed with a sole member.
Members of a limited liability company may be admitted without a contribution or acquiring any LLC interest, subject to the terms of the limited liability company agreement. The members of a limited liability company do not need to be a Jersey resident.
Members have limited liability, meaning they will not be liable for any debt or loss caused to the limited liability company.
The members can manage the limited liability company themselves if there is no manager.
A limited liability company is governed by the terms of a limited liability company agreement. This must be writing and sets out the rights and obligations of the manager and members.

Make a change to a limited liability company
To make a change:
- log in to myRegistry
- go to your portfolio
- select the limited liability company that you want to make the change to
- select 'start new submission'
- select the relevant formLimited Liability Company Declaration – add link to form

Make a change to a limited liability company’s associated party information
You can do this in myRegistry by completing the update associated parties form. Changes must be submitted within 21 days.
