Register a limited liability company

How to register a limited liability company in myRegistry.

Log in to myRegistry, select 'start new submission' and select 'register limited liability company’ from the list.

Limited liability company name

You can choose either a reserved name or a proposed name to start your limited liability company registration.

Reserved name

If you have reserved your limited liability company name and it has been registered, select 'reserved name' and enter your reserved name / number.  If entering the reserved number you must start with 'RN'.

Guidance on reserving a name.

Proposed name

To register a limited liability company without using a reserved name, select 'proposed name'. Selecting this option may extend the time it takes to process the registration, whilst the proposed name is reviewed. We aim to complete the processing within the selected service level but may take up to one additional day to complete the name review.

Legal endings for limited liability companies

Limited liability company 'Limited Liability Company', ‘LLC’ or 'L.L.C.'

You must check if your requested name is available. Type it into the 'requested name' box and click 'check name'. Do not type the legal ending in this box.

Your requested name will need to be reviewed. We cannot guarantee that it will be accepted. You will need to change your proposed name and any documentation containing the proposed name if it is not suitable.

Nature of business

Select from the list, the type of trading activity the company will be undertaking.

For any entity which is not a trading company nor captured by 1 or 1A

Overseas trading companies

For any companies that do not have Jersey beneficial owners

Local Trading - Tourism

For any local trading entity, with Jersey beneficial owners, undertaking activity relating to Tourism e.g. hotels, guest houses

Local Trading - Property

For any local trading entity, with Jersey beneficial owners, owning property / real estate

Local Trading - other

For any local trading entity, with Jersey beneficial owners, that is not covered by 4 or 5 above

For reserved companies only

Significance of name

If your name is similar to an existing entity, give the name, place of registration and connection. Your name may be rejected if we are unaware of a connection. If significance of name is irrelevant enter "n/a".

Limited liability company details

Registered office address

The registered office address must be an address in Jersey.

Declaration

You must upload a completed and signed copy of the limited liability company declaration using the 'upload file' function under ‘Declaration of Limited Liability Company’.

Associated parties

You need to provide current information on the following associated parties:

  • beneficial owners and controllers.
  • significant persons, who are defined under the new legislation as a manager of the limited liability company or, if there is no manager, the members involved in the management of the limited liability company

Associated parties for regulated service providers

Structure

If the structure of the proposed limited liability company is complex, upload a structure chart using the upload facility provided.

Activity

You must give us details of the activity of the proposed limited liability company. You must confirm if the activity will conflict with the Sound Business Practice Policy.

Sensitive activity

Sensitive activities are listed in table 1 or 2 of the Sound Business Practice Policy.

If the proposed limited liability company will undertake an activity in the tables, you must provide as much detail as possible on the activity.

You must also tell us if any subsidiaries, affiliates or associated vehicles of the proposed limited liability company conduct, or will conduct, activities which conflict with the Sound Business Practice Policy, and provide details. We may request further information if the activity is unclear.

Non-sensitive activity

Non-sensitive activities are those that do not conflict with the Sound Business Practice Policy. For example, if the limited liability company is going to hold real estate or conduct a local (non-sensitive) trade.

If the activity of the proposed limited liability company is not listed in the specified list on the form, select ‘other’ and provide details.

Fees

You will have an opportunity to review all information provided, on the 'review' page, before you submit and pay. The registration fee is non-refundable.

There is an initial registration fee and, following the year of registration, an annual confirmation, payable to the JFSC.
