Make a change to a limited partnership
Change your registered address
You can do this by completing the 'change of registered address' form in myRegistry. You must be a nominated person of the partnership to submit this form.
Go to your portfolio, select the partnership you want to make the change to and select 'start new submission'. Select 'change of registered address' from the list.

Submit your annual fee
You can do this by completing the 'partnership - annual administration fee' form in myRegistry. You must be a nominated person of the partnership to submit this form.
Select the year you want to submit the annual fee for and proceed to pay and submit.

Change of declaration
You can do this by completing a change of declaration in myRegistry. You must be a nominated person of the company to submit this form.
Go to your portfolio, select the partnership you want to make the change to and select 'start new submission'. Select the change of declaration type from the list.
You can do the following by submitting a change in particulars form via myRegistry.
- change the partnership name
- change the partnership's limited life date
- change the amount of invested capital
- appoint a liquidator
- dissolve / cancel the partnership
- change the partnership activity type
Change in particulars of a limited partnership
Change of partnership name - help completing the form

| Reserved name | If you have reserved your partnership name and it has been registered, select 'reserved name' and enter your reserved name / number. If entering the reserved number you must start with 'RN'. |
| Proposed name |
To change your partnership name without reserved a name first, select 'proposed name'. Selecting this option will extend the time it takes to process the registration. This will increase the service level time by one working day. |
| Legal ending | Select the relevant legal ending for the partnership. For example, the name of a limited partnership can end with 'limited partnership', 'LP'. |
| Check name | You must check if your requested name is available. Type it into the 'requested name' box and click 'check name'. Your requested name will need to be reviewed. We cannot guarantee that it will be accepted. You will need to change your proposed name if it is not suitable. |
| Effective date | This cannot be a date in the past or in the future. Enter the date you are filing the change in particulars. |
| Upload attachment | You must upload a copy of the completed and signed change in particulars. |
Once you have made your submission, you can check it out and pay the fee. This fee is non-refundable.
Change limited life date - help completing the form

Change of activities
You can do this by completing the 'change of activities' form in myRegistry. You must be a nominated person of the company to submit this form.
Go to your portfolio, select the partnership you want to make the change to and select 'start new submission'. Select 'change of activities' from the list.
You must give us details of the activity of the partnership and confirm if the activity will conflict with the Sound Business Policy (SBP).
Help completing the form

| Nature of business | If the nature of business of the partnership has changed, select the new type of trading activity from the list. |
| Sensitive activity | Sensitive activities are listed in table 1 or 2 of the SBP. If the partnership will undertake an activity in the tables, you must provide as much detail as possible on the activity. You must also tell us if any subsidiaries, affiliates or associated vehicles of the partnership conduct, or will conduct, activities which conflict with the SBP, and provide details. We may request further information if the activity is unclear. |
| Non-sensitive activity | Non-sensitive activities are those that do not conflict with the SBP. For example, if the partnership is going to hold real estate or conduct a local (non-sensitive) trade. If the activity of the partnership is not listed in the specified list on the form, select ‘other’ and provide details. |

You can do this in myRegistry by completing the update associated parties form. Changes must be submitted within 21 days.

Apply to register the continuation of an eligible foreign limited partnership
Once your reserved named has been approved in myRegistry, you need to complete an application of continuance of an eligible foreign limited partnership form (LP3C) and a registration of a partnership form (P2) and file them via myRegistry.
A limited partnership must have at least one general partner, whose liability is unlimited, and at least one limited partner, who is liable up to the amount they have contributed. General partners actively manage the limited partnership, whilst limited partners act as passive investors. Partners may be a company or an individual
To register a Jersey limited partnership you must be a JFSC regulated trust company business.

- Upload the Registration of a partnership form

Provide the associated party information by completing one or both of the following forms. Upload these with the partnership registration in myRegistry.
- Upload the Limited Partnership Continuance application form (LP3C) together with the following supplementary documents:
- a certified copy of the eligible foreign limited partnership’s certificate of formation (or another document that evidences its formation)
- a declaration naming and signed by the general partner stating that –
- the limited partnership is solvent
- the limited partnership has applied to the JFSC for its consent to the creation of interests under the limited partnership in accordance with Article 10 of the Control of Borrowing (Jersey) Order 1958 [COBO P2 FORM]
- the limited partnership has applied to the registrar for registration as a limited partnership under the Limited Partnerships Law
- the limited partnership is not to have legal personality on its continuance within Jersey
- any other documents or information as we may require in respect of the application
- any published application fee
