Make a change to a foundation

Change your registered address

You can do this by completing the 'change of registered address' form in myRegistry. You must be a nominated person of the partnership to submit this form.

Go to your portfolio, select the foundation you want to make the change to and select 'start new submission'. Select 'change of registered address' from the list.

Search address This must be an address in Jersey
Effective date of address change The date that the change of address occurred.

Amend charter

You can do this by completing an amend charter form in myRegistry. You must be a nominated person of the company to submit this form.

Go to your portfolio, select the partnership you want to make the change to and select 'start new submission'. Select the amend charter type from the list.

You can do the following by submitting an amend charter form via myRegistry.

  • change the foundation name
  • change the foundation objectives

Amendment of the charter form

Change of foundation name - help completing the form

Form question guidance
Reserved name If you have reserved your foundation name and it has been registered, select 'reserved name' and enter your reserved name / number.  If entering the reserved number you must start with 'RN'. 
Proposed name

To change your foundation name without reserved a name first, select 'proposed name'. Selecting this option will extend the time it takes to process the registration.  This will increase the service level time by one working day.

 Legal ending Select the relevant legal ending for the foundation. A foundation can only end with 'Foundation'.
Check name You must check if your requested name is available. Type it into the 'requested name' box and click 'check name'. Your requested name will need to be reviewed. We cannot guarantee that it will be accepted. You will need to change your proposed name if it is not suitable.
Effective date This cannot be a date in the past or in the future. Enter the date you are filing the amendment of charter.
Upload attachment You must upload a copy of the completed and signed amendment of charter.

Once you have made your submission, you can check it out and pay the fee. This fee is non-refundable.

Change of objectives - help completing the form

Objectives The charter of a foundation must specify the objects for which the foundation was established. Those objects must be lawful and
may be charitable, non-charitable or both. The objects may be to benefit a person or a class of persons or to carry out a specified purpose, or to do both.
Upload attachment You must upload a copy of the completed and signed amendment of charter.

Change of nature of business - help completing the form

Nature of business If the nature of business of the partnership has changed, select the new type of trading activity from the list.

Dissolve a foundation

Once logged into myRegistry, select 'start new submission' and select 'form uploader'. Once on the submission uploader page, choose 'foundation dissolution' from the list.

Upload the foundation dissolution documents that satisfy the requirements in the Foundations (Winding up) (Jersey) Regulations 2009.

Under Regulation 2 of the Foundations (Winding up) (Jersey) Regulations 2009, the charter of a foundation specifies that the foundation is to be wound up and dissolved –

(a)     upon the happening of some event;

(b)     on the expiration of a fixed period of time; or

(c)     on the application of any person,

and the event happens, the period expires or the application is made.

You can do this in myRegistry by completing the update associated parties form. Changes must be submitted within 21 days.

Change the status of a Jersey company to a foundation

Log in to myRegistry, select 'start new submission' and then 'form uploader'.

Once on the submission uploader page select 'change company to foundation'.

Upload the below completed and signed forms.

Log in to myRegistry, select 'start new submission' and then 'form uploader'.

Once on the submission uploader page select 'continuance out of a Foundation'.
