Penalty process
To avoid a penalty, you must get your annual confirmation statement in on time.
If you want to dissolve/cancel your entity, you must go through the proper winding up process and file dissolution/cancellation documents by the 29 February.
The Registrar will review all entities which have failed to file an annual confirmation or dissolution/cancellation documents within seven months of 29 February.
Before any strike off action is taken, the Registrar will consider whether those entities may be referred to the Attorney General for prosecution for failure to submit an annual confirmation statement, with a potential fine of up to £10,000.
Registry fees have increased in line with RPI following industry consultation
Following consultation with industry, we recently confirmed that Registry fees will be increased in line with Jersey’s RPI, effective from 1 January 2024. This includes annual confirmation statement fees.
You can see our updated fees on our Registry fees webpage.
We continue to make essential investment in our services and systems to improve user experience, including a material upgrade to our Registry system, which we will roll out in the first half of this year.
Effective from 1 January 2024, our fees are increasing in relation to all statutory filings required under the following:
- Business Names (Jersey) Law 1956
- Companies (Jersey) Law 1991
- Foundations Law (Jersey) Law 2009
- Incorporated Limited Partnerships (Jersey) Law 2011
- Limited Liability Partnership (Jersey) Law 2017
- Limited Partnerships (Jersey) Law 1994
- Security Interests (Jersey) Law 2012
- Separate Limited Partnership (Jersey) Law 2011
We acknowledge industry’s concerns about the timing of the fee consultation in the context of the finance industry’s annual billing cycles. The timing of fee consultations and changes will be a key consideration of our comprehensive fee and funding review. You can read more in our Registry fees feedback paper.
Automatic fees for late submission of beneficial owner and significant person information will be introduced during 2024
All Jersey registered entities have a legal obligation to maintain an accurate and up-to-date register of their beneficial owner/controller and significant persons.
To help Jersey to meet international standards in anti-money laundering and combatting the financing of terrorism, there will an automatic fee for late submission of information required under the Financial Services (Disclosure and Provision of Information) (Jersey) Law 2020.
There will be no fee for providing and updating the register with beneficial owner or significant person information within 21 days of knowledge of any change.
Where the information is not provided within the 21-day period, late filing fees will be automated on a sliding scale in line with current late fees.
