Feedback to a consultation on proposals to change fee rates

1 Executive summary

1.1 Overview

1.1.1   In October 2023, we issued Consultation No. 7 2023, Registry fees, which sought views on proposals to change fee rates for Registry activities.

1.1.2   This paper summarises our feedback on responses to the consultation.

1.1.3   In light of the feedback received, we will be changing the fee rates by the amount we proposed in our consultation, effective 1 January 2024. The final form of the fees notice can be found in the appendices and on our website.

1.2 Feedback received

1.2.1   The consultation period closed on 24 November 2023. We received three responses including a consolidated response from Jersey Finance Limited (JFL). The respondents’ comments are detailed in Section 2.

1.2.2   We would like to thank Jersey Finance Limited (JFL) for their efforts in coordinating anonymous responses to our consultation and The Jersey Association of Trust Companies (JATCO) for coordinating responses from their members.

1.3 Next steps

1.3.1   The revised fees will take effect from 1 January 2024.

2 Summary of responses

2.1.1   Three respondents raised concerns over the size of the increase, with one stating it would have been useful if the consultation had included an explanation of how the proposed percentage increase was arrived at. This feedback is appreciated, and we will include this information in future consultations. The increase is a pure RPI calculation from the previous increase date through to June 2023, based on published RPI data (2021 3.5%, 2022 7.9%, 2023 10.9%).

2.1.2   Three respondents raised concerns about the timing of the consultation in the context of annual billing cycles for the finance industry, requesting that Registry fee consultations be completed earlier in the year. This point is acknowledged and the timing of consultations and changes will be a key consideration of our comprehensive fee and funding review.

2.1.3   Two respondents questioned the value for money they were getting from their fees, citing challenges with system rollouts and inconsistent service levels driven by employee churn. Addressing employee turnover has been a core focus of our people strategy over the past two years. Through promoting cultural change and progressive working practices, we have reduced turnover significantly during this period. To ensure we have resource stability, we also need to make sure that our team’s remuneration is fair and relative to market. Our remuneration is informed by market research from a specialist third party. Our teams continue to focus on ensuring system upgrades / rollouts are as seamless as possible, including through discussions with user groups and industry testing. A material upgrade is planned to our Registry system in H1 2024 to address feedback previously provided by users. Industry testing will be a key part of this upgrade.

2.1.4   Two respondents questioned the two-tier basis for annual confirmation fees which is based on the entity being administered by a trust company or fund services business, except where the TCB holds only a Class O licence. The respondents raised concerns about the difference in fees and the potential for “local” entities to be caught by the higher fee. Alternatively these “local” entities may choose to undertake company secretary roles directly, rather than use regulated company secretary services. There was concern that this may lower the standard of corporate governance in many small local businesses.

2.1.5   The criteria for the two-tier fee system was originally challenged in 2020 when it was established. The use of a tiered system requires a cut-off point based on a clear criteria which is administered effectively. Regulated businesses and their clients now have increased access to systems and services, ensuring they can update information and data more efficiently. These enhanced services have an associated cost which cannot equitably be passed onto direct “local” entities who do not have access to that system.

2.1.6   The concerns raised were considered in full. We decided to maintain the historical decision to utilise the strict TCB Class O licence criteria on the basis that although Class Os are able to use the regulated business access point, the number of Class Os actually using the system is low and the number of Class O licences is continually reducing.

[8] An “ordinarily administered limited liability company” means a limited liability company not administered by a trust company or fund services business. For the purposes of this fee notice, a limited liability company is not administered by a trust company business if the trust company business provides only business prescribed as class O under the Financial Services (Financial Service Business) (Jersey) Order 2009.

[9] A “trust company or fund services business” means a trust company or fund services business defined by the Financial Services (Jersey) Law 1998. For the purposes of this fee notice, a limited liability partnership is not administered by a trust company business if the trust company business provides only business prescribed as class O under the Financial Services (Financial Service Business) (Jersey) Order 2009.

[14] An “ordinarily administered separate limited partnership” means a separate limited partnership not administered by a trust company or fund services business. For the purposes of this fee notice, a separate limited partnership is not administered by a trust company business if the trust company business provides only business prescribed as class O under the Financial Services (Financial Service Business) (Jersey) Order 2009.
