Consultation

1.1   Basis for consultation

1.1.1 We are issuing this consultation in accordance with Article 8(3) of the Commission Law, under which the JFSC “may, in connection with the carrying out of its functions … consult and seek the advice of such persons or bodies whether inside or outside Jersey as it considers appropriate”.

1.1.2 In addition, Article 15(3) of the Commission Law requires that before we introduce and publish any fee:

“[T]he Commission must first publish a report that must include -

(a)details of the duty or power for or in respect of which the fee is to be determined;

(b)details of the proposed fee;

(ba)details of the extent (if any) to which any penalties received have reduced the level of fee that would otherwise have been proposed;

(c)a request for comments on the level of the proposed fee; and

(d)a date, that is at least 28 days after the publication of the report, before which those comments may be made to the Commission”.

1.1.3 Article 15(4) of the Commission Law provides that should the JFSC and a representative body be unable to agree a fee increase above the percentage increase in the RPI since the last fee increase, then the JFSC must request the Bailiff to appoint three Jurats to consider if the fee proposed is unreasonable.

1.1.4 We consider that the proposed fee rates are reasonable and that this consultation paper constitutes such a report as required by the Commission Law.

1.2   Who will be affected by the proposed changes?

1.2.1 The proposed fee changes set out in this Consultation Paper would affect many regulated businesses and some members of the general public.

1.3   Responding to the consultation

1.3.1 We invite comments, in writing, from interested parties on the content of this consultation.

1.3.2 Comments should be shared with either Jersey Finance Limited or us by 24 November 2023.

1.4   Next steps

Following this consultation, the JFSC will publish feedback and the final Fees Notice. If agreed, the fees will be effective from 1 January 2024 or as and when such fees arise thereafter.

2   The JFSC

2.1   Overview

2.1.1 We are a statutory body corporate established under the Commission Law. We are responsible for the supervision and development of financial services provided in or from within Jersey.

2.1.2 In addition, the JFSC has appointed Julian Lamb as the Registrar pursuant to Article 196 of the Companies (Jersey) Law 1991.

2.1.3 Article 15(2) of the Commission Law provides that fees set by the JFSC are to be retained and must, together with any other income:

2.1.3.1 raise sufficient income to meet our liabilities;

2.1.3.2 cover our expenses; and

2.1.3.3 provide a reserve for such amount as we consider necessary.

2.2   The JFSC’s functions

2.2.1 Article 5 of the Commission Law prescribes that we are responsible for:

2.2.1.1 the supervision and development of financial services provided in or from within Jersey;

2.2.1.2 providing the States of Jersey, any Minister or any other public body with reports, advice, assistance and information in relation to any matter connected with financial services;

2.2.1.3 preparing and submitting to the Minister recommendations for the introduction, amendment or replacement of legislation appertaining to financial services, companies and other forms of business structure;

2.2.1.4 such functions in relation to financial services or such incidental or ancillary matters:

  as are required or authorised by or under any enactment, or

  as the States may, by Regulations, transfer; and

2.2.1.5 such other functions as are conferred on the JFSC by any other Law or enactment.

2.3   Guiding principles

2.3.1 Article 7 of the Commission Law provides that in exercising our functions, we may take into account any appropriate matter, but that we should consider:

2.3.1.1 the reduction of the risk to the public of financial loss due to dishonesty, incompetence or malpractice by, or the financial unsoundness of, persons carrying on the business of financial services in or from within Jersey;

2.3.1.2 the protection and enhancement of the reputation and integrity of Jersey in commercial and financial matters;

2.3.1.3 the best economic interests of Jersey; and

2.3.1.4 the need to counter financial crime in both Jersey and elsewhere.

3   The Registry

3.1   Overview

3.1.1 The JFSC operates the Registry, which registers Jersey companies, all forms of registrable partnerships, foundations and business names. The Registry aims to maintain a service that is able to supply its users with a customer-centric approach enabling users to have access to accurate and reliable information. In addition, the Registry operates the Security Interests Register (SIR).

3.1.2 Jersey, via the JFSC and Registry, operates a ‘four cornerstones approach’ regarding oversight of legal persons and arrangements to prevent misuse for money laundering / terrorist financing. This approach includes:

 A central registry gatekeeper function, with a rigorous incorporation / registration process for new legal persons and arrangements.

 JFSC regulated gatekeepers, responsible for administration of over 71% of companies, with AML / CFT obligations under the MLO and JFSC AML / CFT / CPF Handbook.

 A company approach, which places obligations on legal persons to keep and maintain information at the registered office address.

 Registry Supervision function, developed to carry out the proactive monitoring of compliance with information requirements.

3.1.3 As part of the ‘four cornerstones approach’, the Registry administers, vets and evaluates:

3.1.3.1 The activities of each new entity against the JFSC’s SBPP.

3.1.3.2 The ownership and control of the new entity so as to update the central register of beneficial ownership and control.

3.1.3.3 Where relevant, the issuance of consent for the circulation of a Jersey company prospectus.

3.1.4 The Registry is medium sized compared to the global registry community. Irrespective of its size the Registry also deals with global continuance, cross-border mergers and international transparency requirements. To ensure registry best practice and interoperability, the Registry is also an active member of a small number of international registry fora.

3.1.5 The Registry is seen as a centre of excellence for the Island’s registries. Accordingly, and where possible, the JFSC has agreed to provide shared services to Government at Government’s request to efficiently utilise services provided by the Registry.

 

4   Proposals

4.1   Background

4.1.1 In 2020 we consulted on and implemented significant changes to the structure and rates for the Registry fees. These changes further developed the fee structure to be focused on the concept of “user pays” while balancing this with international expectations that certain data should be free to search and retrieve.

4.1.2 The implementation of the digital registry (myRegisty) and continued automation have made interaction with the Registry simpler and more convenient. There are now increased associated costs however, including licences for new vetting systems, and increased cyber security requirements as attacks on registries worldwide have increased in 2023 and are expected to intensify.

4.1.3 Additional requirements in the Registry-related laws, in particular the Financial Services (Provision and Disclosure of information) (Jersey) Law 2020, and related order and regulations have increased our resource requirements for the Registry Supervision and Operations functions, alongside an increased number of registers being maintained, and additional work caused by current economic and geopolitical conditions, including the sanctions related to Russia and Belarus.

4.1.4 The Registry is required to keep pace with international standards and the public expectation for service and is constantly looking to the future for evolving registry requirements, all of which will require additional resources, systems and cost. Fees are set to cater for future developments and ensure that reserve resilience is secured to fund such development. In some cases fees will need to be increased to fund particular registry deliverables which are outside the reserve resilience tolerance, an example of such a case would be new system developments as a result of changes to the global transparency agenda.

4.2   Fee proposals

4.2.1 Fees will continue to be based on the concept of “the user pays” and no structural changes are being proposed in this consultation.

4.2.2 The Commission Law contemplates increases to fees in line with RPI, which was recorded as 22.3% from the previous increase through to June 2023. Although the cost of the Registry continues to rise in excess of this metric, our ongoing focus on cost control means that the proposed fee increase can be limited to this amount. It is proposed to increase all fees by 22.3% rounded to the nearest £5, with the exception of annual confirmation or annual administration fees for ordinarily administered entities[1] which will have this fee set at £75.

4.2.3 In accordance with Regulation 7 of the Financial Services (Disclosure and Provision of Information) (Jersey) Regulations 2020, the Government of Jersey proposes to increase the levy to be paid on providing an annual confirmation statement by RPI (22.3%) to £175.The £145 levy will be retained for ordinarily administered entities. The Government has taken the decision that those entities who were exempt from paying the higher fee will also be exempt from paying the increased Government levy.

4.2.4 Draft fees notices reflecting the proposals can be found in Appendix A.

Interpretation

In this notice:

Change Demand Notice

Means the written demand described in Articles 75 and 76 of the SI(J)L

Financing Change Statement

Means the data required or authorised under the SI(J)L to be entered in the Security Interests Register in respect of any transfer, assignment, subordination, discharge, amendment or other action or matter in respect of a security interest or of an assignment of receivable, that has already been registered

Financing Statement

Means the data required or authorised under the SI(J)L to be entered in the Security Interest Register to effect the Registration of a security interest or of an assignment of receivable

Registrar

Means the Registrar referred to in Article 60 of the SI(J)L

Registration

Means the registration of a financing statement in respect of a security interest or assignment of receivables on the Security Interests Register

Regulations

Means the Alternative Investment Funds (Jersey) Regulations 2012, as amended

Security Interests Register

Means the register maintained under Part 8 of the SI(J)L
