Upcoming changes to Companies (Jersey) Law 1991 – form and filing updates
Our registry forms and processes will be updated to align with amendments to the Companies (Jersey) Law 1991, which come into effect on 1 June 2026.
This means your filings will now capture the information needed under the updated legal requirements.
What forms and services are changing?
You will see updates to key registry forms and services, including:
- company and cell incorporation forms
- update associated parties forms
- annual confirmation statement (ACS) and ACS with changes forms
- special resolution forms, including:
- change of share
- change of name
- reduction of capital accounts
Key amendments to the Companies (Jersey) Law 1991
Changes to the Companies (Jersey) Law include:
- revised minimum member requirement for public companies
- update to special resolution processes and form content
- a company may change its name other than by special resolution
- the ability to adopt an unlimited amount of Par Value shares
- changes to ACS and related filing, including the minimum member change for public companies#

- prepare for updated data input requirements
- ensure teams are aware of changes to special resolution filings
