Update on customer access to Registry
Since we launched our new online Registry last week, we have encountered some technical challenges that we are seeking to resolve before we give customers full access to myRegistry.
Following extensive testing and efforts to eliminate any risks of potential performance issues, we feel the safest option is to move customers over to the new system in early February.
We are not prepared to compromise on the level of service and security that we offer; it is critical for all our customers and our reputation as a leading international Registry that we get this right.
Over the coming weeks, we will make the necessary technical changes to the new system to ensure it is delivering the high levels of performance and security that we and our customers expect. At the same time, we will continue to provide all our usual registry services, which will remain unaffected during this transition period.
We will provide an update once we are in a position to give customers full access to myRegistry next month. In the meantime, below is important information for all registry customers.
Easy Company Registry
While our team continues to progress work on myRegistry, we want to make sure that all our customers have the ability to self-manage their submissions online.
You will be able to access your Easy Company Registry account as you previously did and carry on your business as usual.
Login to Easy Company Registry
If you have any significant volumes of submissions to make before we move over to the new system, you should submit these by close of business on Monday 25 January, 2021.
New legal requirements
Under the new law, which came into force on 6 January 2021, the annual return has been replaced by an annual confirmation statement. You are now required to provide us with more information for our central registers, this includes significant persons and the appointment of a nominated person.
No action regarding your annual confirmation is required at this time. Following the launch of myRegistry, there will be a period for you to complete your annual confirmation, which is due by 30 April, 2021.
Significant person information will be collected for all incorporations, registrations and continuances into Jersey.
Any changes to an entity must be submitted by the nominated person. This can be:
- a director or company secretary who is resident in Jersey
- a lawyer or accountant who is resident in Jersey
- a Jersey registered trust company or funds service business
Significant person information for incorporation and registrations
We are collecting significant person information on all new incorporations or registrations.
You must complete one of the following forms and submit it via Easy Company Registry with your incorporation documents.
Significant person form - corporate or legal entity
Significant person form - individual
Find out more about this new requirement on our website.
What accountants and lawyers need to do - associated parties and significant persons
What local businesses need to do - associated parties and significant persons
Associated parties for regulated service providers
Changes to significant person information
We will not be collecting any changes to significant person until we move over completely to the new system. For any changes with an "effective date" between 6 January 2021 and 30 April 2021, the period of 21 days’ notice will start on 1 May.
Nominated persons
We have created a register of nominated persons from information already provided to us from trust company businesses and fund services businesses. We will use this information for any submissions made via Easy Company Registry, unless we are notified otherwise.
Local residents and lawyers or accountants filing any changes will be required to confirm that they are authorised to act as the nominated person of that entity.
The person who files an incorporation / registration will be deemed to be the nominated person of that entity.
Deadline extensions
Annual confirmation statement
Before we launched myRegistry, we extended the deadline for submitting your first annual confirmation statement to 30 April 2021, to give customers more time to get used to the system. You will be able to submit your statement once you have registered for a myRegistry account.
You will not be able to submit your statement via Easy Company Registry.
Special resolutions, including dissolving companies
We have extended the deadline date for special resolutions from 18 January to 25 January. To benefit from this, you must have given us prior notice via email by 31 December 2020.
21 days – changes to beneficial ownership and control information
If there are any changes to the details of your beneficial owner and/or controller information between 19 December 2020 and 1 February 2021, you will have 21 days from 1 February to inform us.
Further support
During the past few months, we have provided customers with support and updates on the new Registry. We will continue this engagement over the coming weeks to make sure that all our users feel comfortable with the move to the new system.
